Terms of Use
These Terms of Use govern access to and use of MAPE by QIYAS AI (the “Service”), provided by Qiyas Technologies, Riyadh, Kingdom of Saudi Arabia (“Qiyas”, “we”, “us”). By signing in or otherwise using the Service you agree to these Terms on your own behalf and on behalf of the organization you represent (the “Customer”).
1. The Service
MAPE by QIYAS AI is a cloud-based performance management system that connects an organization’s strategy, people, KPIs and business data, computes performance status from that data and uses artificial intelligence to explain results, flag risks and recommend actions.
Each Customer receives its own logically isolated workspace (a “tenant”). The Service is offered on the plans agreed with Qiyas.
2. Accounts and workspace owners
The workspace owner is responsible for inviting users, assigning roles and keeping account credentials confidential. The Customer is responsible for all activity that occurs under its workspace and must notify us promptly of any unauthorized use.
Users must provide accurate details and be at least 18 years old. Each user account is personal and may not be shared.
3. Acceptable use
You agree not to:
- use the Service in violation of any applicable law, including the laws of the Kingdom of Saudi Arabia;
- upload data you do not have the right to process, including personal data collected without a lawful basis;
- attempt to gain unauthorized access to the Service, other tenants or our infrastructure, or to probe, scan or test its vulnerability without written permission;
- reverse-engineer, copy, resell or sublicense the Service, or use it to build a competing product;
- use automated means to extract data from the Service beyond the documented export functions;
- use the Service to make decisions about individuals that produce legal or similarly significant effects without meaningful human review.
4. Customer data
The Customer retains all rights to the data it uploads, connects or generates in its workspace (“Customer Data”), including employee records, KPIs, objectives and business data. The Customer grants Qiyas a limited licence to host, process and display Customer Data solely to provide, secure and improve the Service in accordance with these Terms and our Privacy Policy.
The Customer is the data controller for personal data it processes through the Service; Qiyas acts as a processor on the Customer’s documented instructions. The Customer is responsible for informing its employees and for having a lawful basis for the processing.
5. AI-generated content and human oversight
The Service uses AI models to generate summaries, recommendations, draft objectives and similar content (“AI Output”). AI Output is provided as a draft to support human decision-making. It may be inaccurate or incomplete and must be reviewed by a qualified person before it is relied upon or communicated to an employee.
Performance status and progress are computed from baseline, target and actual values supplied by the Customer; the AI does not alter these values. Customer Data is not used to train AI models that serve other customers.
6. Fees and cancellation
Plans are billed monthly or yearly in advance, at the price agreed for the plan when the subscription starts. Fees are exclusive of VAT and other applicable taxes.
Either party may cancel a subscription with effect from the end of the current billing period. Fees already paid are non-refundable except where required by law.
7. Confidentiality
Each party will keep the other party’s confidential information confidential and use it only to perform under these Terms. This obligation does not apply to information that is public, independently developed, or lawfully received from a third party, and survives termination for three years.
8. Intellectual property
The Service, including its software, models, designs and documentation, is owned by Qiyas and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred. Feedback you provide may be used by Qiyas without restriction.
9. Availability, support and changes
We aim to keep the Service available at all times, excluding scheduled maintenance announced in advance. Support is provided by email. We may modify or discontinue features with reasonable notice; material reductions in functionality give the Customer the right to terminate and receive a pro-rata refund of prepaid fees.
10. Warranties and limitation of liability
The Service is provided “as is”. To the maximum extent permitted by law, Qiyas disclaims all implied warranties, including fitness for a particular purpose, and does not warrant that AI Output will be accurate or that the Service will be uninterrupted or error-free.
Neither party is liable for indirect, consequential or special damages, or for loss of profits or data. Each party’s total liability under these Terms is limited to the fees paid by the Customer in the twelve months preceding the claim. These limits do not apply to breaches of confidentiality, misuse of Customer Data, or liability that cannot be limited by law.
11. Termination
We may suspend or terminate access immediately if the Customer materially breaches these Terms, fails to pay undisputed fees within 30 days of notice, or if required by law. The Service does not delete Customer Data automatically when a subscription ends; the Customer may ask Qiyas in writing to delete it.
12. Governing law and disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties will first attempt to resolve any dispute in good faith; failing that, disputes are subject to the exclusive jurisdiction of the competent courts in Riyadh.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to workspace owners at least 30 days in advance by email or in-product notice. Continued use after the effective date constitutes acceptance.
